# EZCNC Terms of Use
These Terms of Use (the “Terms”) govern access to EZCNC.ca and EZCNC’s quoting, file-analysis, manufacturing, ordering, design-library and customer-account services (the “Services”). “EZCNC,” “we,” “us” and “our” mean 1255410 B.C. LTD., doing business as EZCNC. “Customer,” “you” and “your” mean the person or organization using the Services.
## 1. Acceptance and authority
By creating an account, submitting a file, requesting a quote or placing an order, you agree to these Terms. If you act for an organization, you confirm that you have authority to bind it. You must be at least the age of majority where you live and legally capable of entering a contract.
Account registration requires active acceptance of the current Terms and acknowledgement of the Privacy Policy. Marketing consent is separate and optional. You are responsible for accurate account information, protecting your credentials and promptly notifying support@ezcnc.ca of suspected unauthorized access.
## 2. Scope of Version 1
The automated quoting service is intended primarily for two-dimensional profile cutting from supported DXF, EPS and vector PDF files. Engraving, drilling, inside cuts, outside cuts and on-line cuts may be supported only when clearly identified in the quoting flow. Files involving pockets, 3D machining, multiple setups, unsupported geometry, unclear tool actions, missing units, open or overlapping vectors, or other ambiguity may be routed to manual review.
## 3. Customer files and instructions
You are responsible for reviewing, checking and approving before placing an order:
1. the correct file and file version;
2. dimensions, scale and measurement units;
3. material, colour, thickness and quantity;
4. each machining operation, including engraving, drilling and cut-side instructions;
5. production notes, preview and delivery information; and
6. delivery and billing information;
7. final pricing and the complete final order specification; and
8. that the design is suitable for its intended use.
The on-screen preview is an important quoting and verification aid. You must review it before placing an order and confirm at checkout: “I have reviewed the preview and confirm it accurately represents my intended manufacturing instructions.” The preview is not a substitute for an engineering drawing, structural review, code-compliance review, professional design service or physical proof. Automated geometry analysis may not detect every defect or manufacturing issue.
By placing an order, you confirm that you reviewed and approved the file version, dimensions, units, material, thickness, quantity, machining operations, preview, delivery information, final pricing and final order specification. EZCNC and its assigned vendor rely on those approved specifications when preparing and manufacturing the order.
### Order of precedence
If an uploaded file, customer note, email, message, quote detail, checkout selection, manual revision or other instruction conflicts with another, the final approved order specification presented during checkout governs unless EZCNC expressly agrees otherwise in writing. A later requested change is not effective until EZCNC incorporates it into a revised order specification and the customer approves that revision.
You grant EZCNC and the vendor assigned to your order a limited, non-exclusive right to store, reproduce, convert and use your files only as reasonably necessary to analyze, quote, communicate about, manufacture, deliver, support and maintain records for your requested work. Customer uploads remain private and will not be added to the EZCNC Library, sold or reused as catalogue designs without a separate, explicit rights agreement.
## 4. Intellectual-property responsibility
You represent that you own or have all permissions needed to upload and manufacture each submitted design, logo, trademark, image and other content. You must not submit content that infringes intellectual-property, privacy, publicity or other rights, or that is unlawful, dangerous or prohibited.
EZCNC may reject, suspend or cancel work when ownership, authorization, legality or safety is reasonably in doubt. You are responsible for claims arising from content you submit or instructions you provide, subject to limits imposed by applicable law.
## 5. Quotes, estimates and manual review
An instant estimate is based on detected geometry and information supplied by you, including dimensions, material, thickness, quantity, operations, feed assumptions, pass depth, waste and delivery method. It is not a final production commitment.
EZCNC may require manual review and may correct or withdraw an estimate affected by file defects, incorrect units, unsupported geometry, hidden or duplicate lines, incomplete machining instructions, material availability, calculation errors or other material discrepancies. If a change affects price or specifications, EZCNC will request your approval before proceeding.
A quote does not enter production. An order becomes payable only after EZCNC approves or creates a final order record. Quotes may expire on the date shown or, if no date is shown, after the reasonable validity period established by EZCNC. Material and other input pricing may change before an order is finalized. Files associated with abandoned or expired quotes may be deleted according to the published retention schedule.
## 6. Orders, price, taxes and payment
Before checkout, you must confirm the frozen order specifications and final price. Prices are in Canadian dollars unless stated otherwise. The checkout total may include manufacturing, material, waste, setup, delivery and applicable taxes without displaying EZCNC’s internal cost breakdown.
Full payment is required at checkout unless EZCNC agrees otherwise in writing. Payment is processed through Stripe. EZCNC does not store complete payment-card details. An order is not considered paid merely because a browser returns to a success page; payment must be confirmed by EZCNC’s payment system.
EZCNC calculates and collects applicable federal GST/HST based on the order information and delivery destination. Other tax treatment may change as registration duties or law require. You remain responsible for taxes that applicable law requires you to self-assess.
## 7. Production, materials and tolerances
Custom manufacturing involves normal variation. Sheet materials may vary in colour, grain, texture, finish, flatness and nominal thickness. Tool diameter, kerf, machine calibration, hold-down, edge quality and material behaviour may affect finished dimensions and appearance.
Material inventory and supplier availability may change after quoting. If an approved material becomes unavailable, EZCNC may propose an equivalent substitute, revised price or revised schedule. No substitute will be used without the customer’s approval. Production timelines may be extended while a substitution or replacement supply is confirmed.
EZCNC may choose to accept customer-supplied material for a particular order. If accepted, it is supplied entirely at the customer’s risk. EZCNC is not responsible for hidden defects, internal stresses, contamination, inconsistent thickness, unsuitable composition or other characteristics that are not reasonably discoverable before machining, and provides no warranty concerning the customer-supplied material itself.
Unless a written order specification states otherwise, ordinary commercial tolerances appropriate to CNC profile cutting apply. EZCNC may use qualified production vendors. EZCNC remains the customer-facing seller and controls customer communications and remedies.
Production schedules and delivery dates are estimates unless expressly guaranteed in writing. Supply interruptions, file corrections, carrier delays and events outside reasonable control may affect timing.
### Manufacturing warranty
EZCNC warrants only that, at the time of shipment or pickup, manufactured products will substantially conform to the approved final order specification, subject to stated tolerances and normal material variation. EZCNC does not warrant the accuracy of a customer design; engineering suitability; structural performance; regulatory, code or standards compliance; fitness for a particular purpose; installation methods; or customer-supplied specifications or materials. Mandatory statutory warranties, conditions and remedies that cannot lawfully be excluded remain unaffected.
## 8. Changes, cancellations, refunds and remakes
You may request cancellation for a full refund before production begins. “Production begins” when work enters manufacturing preparation, including programming, CAM processing, setup, tooling, material preparation or machining. Once custom production begins, the order cannot be cancelled and is non-refundable except where EZCNC confirms a manufacturing defect, failure to follow the approved specification or other EZCNC error, or where applicable law requires a remedy.
If a problem is reported, you must preserve the product and packaging, provide reasonable photographs or other evidence, and allow EZCNC a reasonable opportunity to inspect or investigate. EZCNC may, as appropriate, repair, remake, replace or refund the affected portion. Customer-supplied file errors, incorrect confirmations, normal material variation and suitability for an undisclosed end use are not EZCNC manufacturing defects.
## 9. Pickup, local delivery and shipping
Available fulfilment methods and charges appear at checkout or in the approved order. Local delivery may be offered at a flat rate for eligible destinations and may be free above a stated order threshold. Oversized, fragile, remote or freight orders may require a custom delivery quote.
You must provide a complete and accurate address and ensure someone can receive the order where required. Inspect deliveries promptly. Visible carrier damage should be noted at delivery and reported to EZCNC with photographs and packaging evidence.
To the extent permitted by law, EZCNC is not responsible for delivery delays caused by weather, customs, freight companies, labour disputes, supply-chain disruptions, government actions, carrier scheduling or other circumstances outside EZCNC’s reasonable control. EZCNC will use reasonable efforts to communicate material delays known to it.
## 10. EZCNC Library Assets
Library Assets are designs approved by EZCNC for selection and manufacturing through the platform. Subject to the order terms, you may select an available asset, adjust it within permitted size limits and order a finished product. Unless expressly offered under a separate licence, you do not receive the source DXF or ownership of the design.
You may not extract, copy, reconstruct, redistribute, resell, sublicense, scrape or use a Library Asset outside the Services. Purchasing a manufactured product does not transfer intellectual-property rights in the underlying asset. Separate marketplace or digital-file terms apply if EZCNC later offers source files.
## 11. Acceptable use
You must not misuse the Services; interfere with security or availability; bypass access controls; scrape the site; reverse engineer protected server-side systems; upload malware; impersonate others; test payment methods without authorization; or use the Services for unlawful, infringing, deceptive, unsafe or abusive activity.
EZCNC may remove content, pause a quote, suspend an account or cancel an order when reasonably necessary to protect customers, vendors, the platform or legal compliance. Refunds following cancellation by EZCNC will depend on work completed, the reason for cancellation and applicable law.
## 12. Communications
You agree to receive necessary electronic communications about accounts, quotes, orders, files, payments, security and policy changes. These transactional messages are not marketing. Optional promotional messages require separate consent and will include an unsubscribe mechanism where required.
Customer and production-vendor communications about an EZCNC order must remain within EZCNC-controlled channels. Vendors are not authorized to change customer prices, accept payment directly or create a separate customer relationship.
Assigned vendors receive only the information reasonably necessary to complete authorized production and fulfilment. Vendors must maintain confidentiality; must not solicit or market directly to EZCNC customers; must not retain customer files beyond authorized production, record-retention or legal requirements; and must not copy, reuse, disclose or manufacture from customer designs for any unrelated purpose. Vendor access and use remain subject to EZCNC’s vendor agreement and technical controls.
## 13. Payment disputes and chargebacks
Whenever reasonably possible, you agree to contact EZCNC at support@ezcnc.ca and allow a reasonable opportunity to investigate before initiating a payment chargeback or dispute. Fraudulent, knowingly false or abusive chargebacks may result in an order hold or account suspension, and EZCNC reserves its lawful rights and remedies. Nothing in this section restricts a payment or consumer right that cannot lawfully be waived.
## 14. Service availability and changes
EZCNC may maintain, modify or discontinue features and supported file formats. We will use reasonable efforts to preserve paid order records and provide notice of material changes where appropriate. The Services may experience interruptions and are provided subject to technological and third-party-service limitations.
## 15. Force majeure
EZCNC is not liable for delay or failure caused by events beyond its reasonable control, including fire, flood, earthquake, severe weather, pandemic, internet outage, power failure, cyber incident, supplier failure, transportation interruption, government restriction, labour dispute or labour shortage. Affected production and delivery schedules may be extended for the period reasonably required to address the event. This section does not excuse payment obligations already due or limit rights that cannot lawfully be excluded.
## 16. Export compliance
You are responsible for ensuring that your submitted design, order, intended use and destination comply with applicable export-control, import, trade-sanctions and restricted-party laws. EZCNC may refuse, hold or cancel an order where compliance is reasonably in doubt.
## 17. Disclaimers
To the extent permitted by law, the Services, automated analysis, estimates and previews are provided on an “as available” basis. EZCNC does not warrant that every file defect will be detected, that a design is suitable for a particular structural, safety, regulatory or professional purpose, or that access will always be uninterrupted.
Nothing in these Terms excludes warranties, conditions or remedies that applicable law does not permit EZCNC to exclude.
## 18. Limitation of liability
To the extent permitted by law, EZCNC will not be liable for indirect, incidental, special, consequential or punitive loss, or for lost profits, business interruption or loss of data arising from the Services or an order. EZCNC’s aggregate liability arising from a particular order will not exceed the amount paid to EZCNC for that order.
These limitations do not apply where prohibited by law, including liability that cannot legally be limited. [COUNSEL: tailor exclusions and cap for British Columbia consumer and commercial transactions.]
## 19. Indemnity
To the extent permitted by law, you will indemnify EZCNC and its personnel and vendors against third-party claims arising from your submitted content, infringement of rights, unlawful use, undisclosed intended use or material breach of these Terms. This provision does not require you to indemnify EZCNC for EZCNC’s own negligence or misconduct where such exclusion is prohibited.
## 20. Suspension and termination
You may request account closure, subject to records EZCNC must retain for orders, taxes, disputes, security and legal obligations. EZCNC may restrict or terminate access for material breach, fraud, payment abuse, security risk or unlawful activity. Provisions concerning payment, intellectual property, records, liability, disputes and other matters that by their nature should survive will continue after termination.
## 21. Governing law and disputes
These Terms are governed by the laws of British Columbia and the applicable federal laws of Canada, without regard to conflict-of-law rules. Subject to rights that cannot be waived, the parties submit to the courts located in British Columbia. Before starting formal proceedings, the parties will make reasonable efforts to resolve the dispute through support@ezcnc.ca.

## 22. Changes to these Terms
EZCNC may update these Terms. Each version will show an effective date. Material changes will be communicated as required, and active reacceptance may be required before a future checkout. A new version does not silently replace the archived version accepted for an earlier order.
